Approval of the Transaction Proposal required the affirmative vote of holders of a majority of the outstanding shares of Enviri common stock entitled to vote on the proposal. Approximately 99.54% of the votes cast by Enviri shareholders entitled to vote thereon were voted “FOR” the transaction proposal.
